Acron Holds an Extraordinary General Meeting on February 27

 The meeting, held in the form of an absentee vote, passed a resolution to reorganise Acron through accession of subsidiary Granit.

The accession will give Acron rights to Dorogobuzh’s 181,490,374 common shares and 30,923,495 preferred shares (24.26% of authorised capital) held by Granit.

Acron shareholders resolved to decrease the Company’s authorised capital by reducing the total number of shares. Acron’s authorised capital will decrease from RUB 238,438,000 to RUB 202,670,000 by retiring 7,153,600 shares (15.001% of authorised capital) held by Granit.

Acron’s Charter will be amended following the accession.
